TRUE ALPHA TRADING — WEBSITE TERMS OF USE

These Terms of Use (“Terms” or “Agreement”) are a legal agreement between True Alpha Trading, LLC (“True Alpha Trading,” “we,” “us,” or “our”) and you (“you,” “your,” or “User”). These Terms govern your access to and use of:

• www.truealphatrading.com and all subdomains (the “Site”);
• Online courses, memberships, coaching, webinars, presentations, and video programs (“Courses”);
• Our web application, software tools, calculators, dashboards, models, brokerage-connected features, and related functionality (“Tools”).

Collectively, these are the “Services.”

By accessing or using any part of the Services, you agree to be bound by these Terms and all incorporated policies. If you do not agree, do not use the Services.

This Agreement supersedes all prior agreements relating to the Services.

1. Eligibility

• You must be at least 18 years old and capable of entering into a binding legal agreement.
• The Services are operated from the United States and are intended for U.S. residents.
• If you use the Services from outside the U.S., you do so at your own initiative and are responsible for compliance with local laws.

2. Education Only — No Investment, Financial, or Trading Advice

True Alpha Trading provides general educational information only. We are not:

• An investment adviser
• A financial planner
• A broker-dealer
• A CTA, CPO, or FCM
• A fiduciary
• A tax or legal adviser

You acknowledge and agree:

2.1 No Advisory Relationship

Nothing in the Services constitutes personalized investment, financial, tax, or legal advice.

2.2 No Recommendations

References to securities, futures, options, crypto, or other instruments are educational and illustrative, not recommendations or advice.

2.3 High Risk Warning

Trading securities, options, futures, and derivatives involves substantial risk and may result in total loss of capital.

2.4 Not Tailored to You

Content is not tailored to your financial situation, risk tolerance, or objectives.

2.5 No Performance Guarantees

We do not guarantee profits or any particular outcomes.
You are solely responsible for your trading decisions.

3. Account Creation & Security

To access certain Services, you must create an account.

You agree to:

• Provide accurate information;
• Keep your credentials confidential;
• Maintain responsibility for all activity under your account.

You may not:

• Share or transfer accounts;
• Provide access to others;
• Allow multi-user access without written authorization.

If you suspect unauthorized access, email [email protected] immediately.

4. Purchases, Payments & Refunds

4.1 All Sales Final

Unless expressly stated otherwise in writing, all sales are final.

4.2 Discretionary Credits

We may offer credits at our sole discretion. This does not waive the “all sales final” policy.

4.3 Subscriptions & Auto-Renewal

Subscriptions automatically renew unless cancelled.
No refunds for partial periods.

4.4 Payment Plans

You must complete all installments.
Missed payments may result in suspended access.

4.5 Single-User Access

Purchases grant access to one individual.
Multi-seat licensing requires written permission.

5. License & Permitted Use

You receive a personal, non-transferable, non-exclusive, revocable, single-user license for educational use.

You may not:

• Copy or redistribute content;
• Share login access;
• Publish course materials;
• Reverse-engineer Tools;
• Create competing products;
• Bypass security features.

Violations result in termination without refund.

6. Brokerage Connectivity via Schwab OAuth (API Access)

6.1 Secure OAuth Login

If you choose to connect your brokerage account, you will authenticate directly with Charles Schwab through Schwab’s secure OAuth login page.

True Alpha Trading does not see, receive, or store your Schwab username, password, or login credentials.

6.2 OAuth Token Duration

Schwab issues a limited-duration OAuth access token that typically remains active for up to 7 days.
After expiration, you must re-authenticate to continue using connected features.

6.3 Read-Only Access

Unless explicitly stated otherwise, our Tools have read-only access and cannot:

• Place trades
• Transfer funds
• Modify your account
• Execute orders or manage assets

True Alpha Trading is not a broker-dealer.

6.4 Brokerage Data Retrieved

Depending on the authorization you grant, read-only data may include:

• Account balances
• Positions
• Transaction history (read-only)
• Market data provided by Schwab
• Other authorized account data

6.5 No Password Collection

We do not access or store:

• Brokerage login credentials
• Social Security Numbers
• Financial account numbers
• Trading authorization credentials

6.6 Accuracy & Reliability of Data

You acknowledge:

• API data may be delayed or inaccurate
• Schwab may throttle or interrupt API access
• True Alpha Trading does not guarantee data accuracy, completeness, or timeliness

Always verify data directly with your brokerage account.

6.7 Revoking Access

You may revoke Schwab API access at any time in your Schwab account settings.

6.8 No Liability for API/Data Issues

We are not responsible or liable for:

• Schwab outages
• Token failures
• Delayed/incorrect data
• API errors
• Losses from reliance on displayed data

Use of brokerage connectivity is at your own risk.

7. Data Collection, Privacy, and Information Handling

7.1 Categories of Data We Collect

We may collect:

Account Data:

• Name, email, contact information
• Purchase history
• User-generated content

Technical Data:

• IP address
• Device type
• Cookies and analytics data

Brokerage Data (only if you connect Schwab):

• Balances
• Positions
• Read-only transaction history
• Market data
• Schwab-authorized financial information

We do not collect:

• Schwab credentials
• SSNs
• Bank account numbers
• Trading authority or permissions

7.2 How Data Is Used

We use data to:

• Display your account information in the Tools
• Generate analytics, dashboards, and risk calculations
• Improve Services
• Provide support
• Comply with legal obligations

We do not sell your data.
We do not use brokerage data for marketing purposes.

7.3 Storage & Security

• OAuth tokens are encrypted
• Tokens auto-expire within ~7 days
• No brokerage credentials are stored
• Reasonable safeguards are used
• No system is perfectly secure; you use the Services at your own risk

7.4 Third-Party Sharing

Data may be shared only with:

• Hosting providers
• Payment processors
• Analytics platforms
• Security vendors

Third parties may not use your data for any other purpose.

We do not share brokerage data with marketers.

7.5 Data Retention

• Account data is retained until deletion
• OAuth tokens expire automatically
• Analytics logs retained per internal policy

7.6 Your Rights

Depending on your state (CA, CO, CT, VA, UT), you may have rights to:

• Access
• Delete
• Restrict
• Correct
• Obtain a copy of your data

7.7 Compliance With Schwab Terms

Brokerage access is subject to:

• Schwab’s terms
• Schwab’s developer API policies
• Schwab’s security and revocation standards

7.8 No Liability for Data or API Issues

True Alpha Trading is not liable for:

• Schwab data errors
• API interruptions
• OAuth token failures
• Market data inaccuracies
• Losses resulting from reliance on any Tool output

You agree to verify all financial information directly with Schwab.

7.9 Recording of Live Sessions

Live coaching sessions, webinars, group calls, office hours, and similar live offerings conducted as part of the Services may be recorded, including audio, video, chat messages, and screen-shared content.

By purchasing, accessing, or participating in any live session, you acknowledge and consent to such recording.

Recordings may be used for:

• Educational purposes for enrolled users

• Internal training, quality assurance, and content improvement

Recordings will not be used in a manner that identifies you personally for public or promotional purposes without additional consent.

If you do not consent to recording, you should not participate in live sessions.

8. Tools, Software, Calculators & Web Application

Tools are for informational and educational purposes only.

Tools may rely on third-party APIs.
We do not guarantee:

• Accuracy
• Timeliness
• Completeness
• Availability

You are solely responsible for how you use Tool outputs.

9.User Conduct

You agree not to:

• Violate any law
• Upload harmful content
• Use bots or scrapers
• Interfere with the Services
• Harass staff or users
• Use the Services competitively without permission

We may suspend or terminate your access for violations.

10. Non-Disparagement (Soft Version)

Before posting negative content publicly, you agree to contact us first at [email protected] and provide an opportunity to resolve the issue.

11. Intellectual Property

All content, code, Tools, calculators, videos, and materials are owned by True Alpha Trading.

You may not:

• Copy, publish, or redistribute materials
• Remove copyright notices
• Use trademarks without permission

12. User Submissions & Feedback

By submitting feedback or content, you grant True Alpha Trading a perpetual, worldwide, royalty-free license to use it for any lawful purpose.

13. Third-Party Links

We are not responsible for the content, accuracy, or actions of third-party sites.

14. Warranty Disclaimer

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
WE DISCLAIM ALL WARRANTIES, INCLUDING:

• MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• ACCURACY
• AVAILABILITY
• RELIABILITY OF DATA OR TOOL OUTPUTS

You use the Services at your own risk.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRUE ALPHA TRADING IS NOT LIABLE FOR:

• INDIRECT, SPECIAL, OR CONSEQUENTIAL DAMAGES
• TRADING LOSSES
• LOSS OF CAPITAL
• LOSS OF PROFITS
• DATA ERRORS
• API FAILURES
• BUSINESS INTERRUPTION

TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID IN THE PREVIOUS 12 MONTHS.

16. Indemnification

You agree to indemnify, defend, and hold harmless True Alpha Trading from claims arising out of:

• Your use of the Services
• Your trading decisions
• Your violation of these Terms
• Your breach of any law

17. Arbitration & Class Action Waiver

Disputes must be resolved through binding arbitration (AAA).
No class actions.
Either party may pursue a claim in small claims court.

18. Termination

We may terminate your access at any time for violations of these Terms.
Termination does not entitle you to a refund.

19. Severability

If any provision is unenforceable, the remainder remains in effect.
