TRUE ALPHA TRADING — TOOLS APPLICATION TERMS OF SERVICE

These Tools Application Terms of Service (“Terms” or “Agreement”) govern your access to and use of the True Alpha Trading Tools Application (the “Tools App”), including all versions, modules, dashboards, calculators, software, features, outputs, functionality, enhancements, and updates.

The Tools App is operated by True Alpha Trading, LLC (“True Alpha Trading,” “we,” “us,” or “our”).

By accessing or using the Tools App, you agree to be bound by these Terms.
If you do not agree, do not use the Tools App.

These Terms operate in addition to, and not in place of, the True Alpha Trading Website Terms of Use, Privacy Policy, and Disclaimer.
If a conflict exists, these Tools App Terms control for all matters relating to the Tools App.

1. Eligibility & Account Access

To use the Tools App, you must:

• Be at least 18 years old;
• Be a U.S. resident;
• Have a valid True Alpha Trading account;
• Use the Tools App only for lawful purposes.

You receive a single-user, non-transferable license.
You may NOT:

• share login credentials;
• allow others to access or view the Tools App;
• provide group, firm, or classroom access;
• resell or redistribute access;
• allow bots or automated tools to access the Tools App.

Violations may result in immediate termination without refund.

2. License to Use the Tools App

We grant you a limited, revocable, non-exclusive, non-transferable, single-user license to use the Tools App solely for personal, non-commercial, educational use.

You may NOT:

• copy, modify, or reproduce the Tools App;
• reverse-engineer formulas, logic, or source code;
• build competing products;
• extract, scrape, or harvest data;
• publish or distribute outputs;
• bypass security or access controls;
• remove proprietary notices.

All rights not expressly granted are reserved to True Alpha Trading.

3. Educational Use Only — No Investment Advice

The Tools App provides general educational information relating to:

• risk management concepts;
• exposure and portfolio modeling;
• volatility and drawdown analysis;
• scenario modeling;
• informational calculators.

The Tools App does NOT:

• provide investment, financial, tax, or legal advice;
• provide individualized recommendations;
• evaluate suitability;
• suggest position sizes;
• guarantee outcomes;
• provide signals or actionable trading instructions;
• execute trades or manage brokerage accounts.

You acknowledge:

• True Alpha Trading is not an adviser or broker-dealer;
• No content or output constitutes personalized advice;
• You alone are responsible for trading and investment decisions.

Always consult a licensed financial professional.

4. Brokerage Connectivity via Charles Schwab OAuth API

4.1 Secure Schwab Authentication

If you connect your brokerage account, you will authenticate directly through Charles Schwab’s secure OAuth login page.

True Alpha Trading does not receive, store, or view:

• Schwab usernames
• Schwab passwords
• MFA codes
• Account login credentials

4.2 OAuth Token Duration

After authorization:

• Schwab issues a secure OAuth access token;
• This token typically remains active for up to 7 days;
• You must re-authenticate when the token expires.

4.3 Read-Only Access

Unless explicitly stated otherwise in writing, the Tools App:

• has read-only access to your brokerage data;
• cannot place trades;
• cannot modify your account;
• cannot transfer funds;
• cannot execute strategies or orders.

True Alpha Trading is not a broker-dealer.

4.4 Data Retrieved Through Schwab

Depending on your authorization, the Tools App may retrieve:

• account balances;
• positions and holdings;
• read-only transaction history;
• market data provided by Schwab;
• other Schwab-authorized data.

4.5 Data We Do NOT Collect

We do not collect or store:

• passwords;
• SSNs;
• bank routing or account numbers;
• trading permissions;
• brokerage identity verification documents.

4.6 Data Accuracy, Delays & API Reliance

You acknowledge that brokerage-connected data may:

• be delayed or incomplete;
• contain inaccuracies;
• rely on third-party systems outside our control;
• be interrupted at any time;
• produce stale or missing values.

You agree to verify all information directly with your Schwab account.

4.7 No Liability for Brokerage or API Issues

True Alpha Trading is not responsible or liable for:

• Schwab API outages;
• OAuth token failures;
• throttling or rate limits;
• incorrect or delayed data;
• market data inaccuracies;
• losses based on reliance on any Tools App output.

Brokerage API use is entirely at your own risk.

5. Data, Calculations, Outputs & Accuracy Limitations

The Tools App relies on:

• third-party APIs;
• market data providers;
• volatility models;
• proprietary formulas;
• historical datasets.

Outputs may be:

• delayed;
• approximate;
• incomplete;
• incorrect;
• affected by stale or missing inputs;
• disrupted by data errors or outages.

True Alpha Trading does not guarantee the accuracy, timeliness, completeness, reliability, or correctness of any data or calculation.

You must independently verify all outputs.

6. No Reliance for Trading or Investment Decisions

You agree:

• The Tools App is not a trading tool;
• Does not provide buy/sell/hold recommendations;
• Does not execute trades;
• May not reflect real market conditions;
• You will not rely solely on the Tools App for trading decisions.

True Alpha Trading has zero liability for your trading or investment results.

7. Proprietary Rights & Intellectual Property

The Tools App and all related content (“True Alpha IP”), including:

• formulas, logic, and models;
• algorithms and risk systems;
• dashboards and UI/UX;
• calculators;
• layouts and output formats;
• software code;
• future modules;

are the exclusive property of True Alpha Trading, LLC.

You may NOT:

• reverse-engineer outputs;
• reproduce or publish proprietary content;
• create derivative works;
• build competing products;
• claim ownership or authorship of Tools App content.

Violations may result in legal action.

8. Third-Party Providers & Integrations

The Tools App may rely on:

• Schwab APIs;
• hosting platforms;
• cloud services;
• market data providers;
• analytics systems;
• Kajabi infrastructure.

We are not responsible for:

• outages;
• data errors;
• throttling;
• API changes;
• loss of access;
• inaccuracies or delays.

Your use of third-party services is at your own risk.

9. Availability, Modifications & Updates

We do not guarantee the Tools App will be:

• uninterrupted;
• error-free;
• continuously available;
• compatible with all devices.

We may:

• modify, add, or remove features;
• release updates or new versions;
• suspend or discontinue modules;
• temporarily restrict access.

No refunds will be issued for modifications or interruptions.

10. Prohibited Conduct

You agree not to:

• violate securities laws;
• misuse data;
• manipulate markets;
• interfere with system operations;
• attempt unauthorized access;
• use automated bots or scrapers;
• exploit or attempt to bypass security features.

Violations may result in termination and legal action.

11. Disclaimer of Warranties

THE TOOLS APP IS PROVIDED “AS IS,” “AS AVAILABLE,” AND “WITH ALL FAULTS.”

WE DISCLAIM ALL WARRANTIES, INCLUDING:

• ACCURACY
• RELIABILITY
• TIMELINESS
• COMPLETENESS
• MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT

You assume all risk of using the Tools App.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRUE ALPHA TRADING IS NOT LIABLE FOR:

• trading losses;
• loss of capital;
• incorrect calculations;
• data inaccuracies;
• API outages or delays;
• reliance on any output;
• incidental, consequential, or special damages;
• inability to access the Tools App.

TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID IN THE PRIOR 12 MONTHS.

13. Indemnification

You agree to indemnify, defend, and hold harmless True Alpha Trading from claims arising out of:

• your use of the Tools App;
• your trading or investment actions;
• your violation of these Terms;
• data misuse;
• breaches of law or third-party rights.

14. Termination

We may suspend or terminate your access, without refund, for:

• violating these Terms;
• unauthorized sharing or access;
• misuse of brokerage connectivity;
• security concerns;
• legal or regulatory requirements.

15. Governing Law, Arbitration & Class Action Waiver

These Terms are governed by the laws of the State of Texas.

All disputes must be resolved through binding AAA arbitration.

YOU WAIVE:

• jury trials;
• class actions;
• class arbitrations;
• representative actions.
